Dear Mr. XXX
With reference to your employment with this Company,
we have pleasure in offering you the position of Marketing
Manager with effect from 01 Jan 1997 on the following
terms and conditions.
Duties
You will be required to carry out duties of a suitable
character as might be assigned to you by the Company or
the authorized employee(s) of the Company. You may be
required to perform your duties at any subsidiaries, holding
companies or other affiliated corporation of the Company
at any location in Hong Kong.
Hours
Your normal working hours will be

Mondays to Fridays

9:00 a.m. - 5:30 p.m. (Including a one-hour lunch
break)

Saturadays
|
9:00 a.m. - 12: 00 noon
|

You will also be expected to work without additional
remuneration such additional hours, either in the
evenings or on Sundays or holidays, as the exigencies
of the Company's business might from time to time
required.

Working Outside the Boundaries of Hong Kong
You will be required to go overseas and/or to Mainland
China to carry out such duties as assigned to you from
time to time in line with the expansion and development
of the Company's business outside the boundaries of Hong
Kong.
Remuneration
Your commencing salary will be HK$18,000 per month. Any
subsequent annual advancement will be at the discretion
of Management based upon your performance, diligence and
loyalty.
A Chinese New Year Bonus, equivalent to the basic salary
paid in December, will be awarded to you before Chinese
New Year for a full calendar year of service. It will

join the Company in the course of a year and has passed
the probation period and remain in service at the bonus
issue day.
Other Benefits
Upon satisfactory completion of the probation period,
you will automatically become a member of the Company's
Provident Fund and Medical Scheme. Your annual leave,
provident fund and medical benefits, etc. will be according
to the Company's Human Resources Policy in force at
the time.
Engagement in Other Activities
During your employment, you must not engage in any activities
conflicting with the Company's interest or policies.
Prior written approval from the Company is required
should you plan to work on a part-time basis with another
concern after office hours.
Probation/Termination
Your first three months of employment are of a probationary
nature. During the first month of your employment, this
employment contract is subjected to termination at any
time by either party without notice required. Thereafter,
one-week notice or payment (of basic salary) in lieu of
notice is required. After completion of probation, one-month
notice or payment (of basic salary) in lieu of notice
is required.
Notwithstanding any other provision of this Agreement,
the Company any terminate this Agreement at any time forthwith
by notice in writing if the employee becomes bankrupt
or makes an arrangement or composition with his creditors
generally or becomes of unsound mind or is convicted of
a criminal offence or commits and act of gross negligence
or moral turpitude or commits a breach of any provision
of this Agreement.
Transfer/Secondment
The Company has the right to transfer/second the employee
to work part time or full time for any company within
the Group (that is, any subsidiaries, holding Companies
or other affiliated corporation). The Company shall
have the discretion to request the employee to support
any other such companies within the Group.
Confidentiality
You hereby agree that you will not at any time, directly,
or indirectly, disclose customer information, product
specifications or other trade secrets or confidential
or proprietary information regarding the Company to
any third party or otherwise use trade secrets or confidential
or proprietary information for your own benefit or the
benefit of others unless authorized in writing by the
Company. This paragraph shall remain in effect henceforth,
notwithstanding termination of your employment with
the Company.
In addition, you hereby agree that you are not to divulge
to nor enter into a discussion with any third party
at any time during your employment with regard to your
salary and compensation package

letter as your formal acceptance.
